ESP/ESPA Terms and Conditions

Program Options

The Expanded Services Program has two options, the Expanded Services Program and the Expanded Services Program with Automation and Integration (collectively, the “Program” and each a “Program”):

  • Expanded Services Program (ESP):
    The ESP provides resources for getting the most out of TeamDynamix products or

  • Expanded Services Program with Automation and Integration (ESPA):
    The ESPA provides iPaaS and CAI Clients additional assistance for building flows and/or performing other TeamDynamix Automation and Integration configurations.

Clients may opt for either or both Programs.

ESP

Subject to the terms and conditions contained herein, the ESP program include the following benefits:

Access to:

  • Basic administration training for all that is made available through readiness bootcamps
  • Learning management system courses that include:
    • Additional TDx product administration training topics
    • Process methodology and best practices
  • Subject matter experts during defined office hours
    • Collaborate during regularly scheduled meetings to ask questions, hear others’ questions, and gain insights on how to address Work Management questions and solutions.
  • ESP Dashboard with up-to-date ESP hours balance reporting and other helpful information, and links.

Ability to:

  • Receive up to twenty (20) hours per contract year of direct engagement time with TeamDynamix Professional Services Consultants through the following activities:
    • Process consulting workshops for best practices
    • Product administration assistance or implementation of added functionality
    • Specialized and personal live product training
    • Guidance on usage/configuration for TeamDynamix products.
  • Have a performance assessment performed on the Work Management products once (1) every twenty-four (24) months (each, a “Health Check”).
    • The Health Check shall include up to four (4) Work Management apps (PPM, Client Portal, Ticket, Assets/CI, and/or ITAM apps).

ESPA

Subject to the terms and conditions contained herein, the ESPA program includes the following benefits:

Ability to

  • Participate in regularly scheduled meetings, such as quarterly business reviews, in order to strategize and forecast the usage of the iPaaS product and how TeamDynamix can support such usage.
  • Receive up to one hundred (100) hours per contract year of automation and integration direct engagement time with TeamDynamix Professional Services Consultants through the following activities:
    • iPaaS administration
    • iPaaS requirements development
    • iPaaS connector creation
    • iPaaS flow and dynamic form builds
    • CAI flow builds

Access

  • Basic administration training for all TeamDynamix that is made available through readiness bootcamps
  • Subject matter experts during defined office hours
  • Learning management system courses that include:
    • Additional TDx product administration training topics
    • Process methodology and best practices
  • ESPA Dashboard with up-to-date ESPA hours balance reporting and other helpful information, and links.

Terms and Conditions

General

  • The License Agreement (the “Agreement”) with TeamDynamix will identify whether a Client has purchased the Program(s) in Exhibit A to that Agreement.
  • The purchase of the Program(s) will renewal annually for each Term of the Agreement as further described in Exhibit A to the Agreement.

Office Hours

  • Office hours sessions have attendance limits to facilitate participation. Therefore, the sessions require registration and are subject to availability.

Direct Consulting Engagements

  • Reset
    Available hours for direct consulting engagements will be available as of the Effective Date of the Agreement and will reset each contract year thereafter as set forth in Exhibit A of the Agreement., except that clients that add the Program during one of those contract years will
    1. have the Program co-termed with their existing Term
    2. not have their direct consulting engagement hours prorated for the contract year in which the ESP Program is added
    3. have their direct consulting engagement hours prorated for the contract year in which the ESPA Program is added
  • Scoping
    Larger or complex direct consulting engagements, like product expansions/implementations, iPaaS flow builds, workflow or application builds, may require a billable scoping meeting to ensure the work fits the available direct consulting engagement hours. In the event that any work for a direct consulting engagement is estimated to extend beyond the available direct engagement hours, an executed Statement of Work at an additional cost such work will be required.
  • Hours
    The hours related to a direct consulting engagement will draw from the contract year of the Term in which the work is performed. If a direct consulting engagement extends beyond the end of the contract Term or contract year (as applicable), the hours worked into the next contract Term or contract year would draw from the next contract Term or contract year (as applicable).
    • For ESPA, work is intended to be spread out through the year and resources will not be available to engage all 100 hours within any month or quarter.

 

Health Check

  • Work Management Product Health Check work beyond the frequency and apps listed in scope will require the use of either direct engagement hours or an executed SOW at an additional cost.
  • Health Checks include Work Management and ITAM products. Health Checks do not apply to iPaaS CAI, or other products.

 

Additional Details

  • Existing Value-Added Services (“VAS”) program Clients will be migrated to this new Program to take advantage of the additional benefits at no extra cost for the remainder of their then-current contract Term. Available hours for direct engagements hours will align with the number agreed to in the current contract Term.
  • Benefits may be added over time or modified with a thirty (30) day advance written notice to the Client.
